Company Secretary

Location: Gurgaon

Job Summary:

- We are seeking a seasoned Company Secretary to oversee and manage the legal and regulatory compliance functions of our manufacturing company.

- The ideal candidate will have a strong understanding of corporate law, securities law, and SEBI regulations.

Key Responsibilities:

Corporate Governance:

- Ensure compliance with corporate governance best practices and SEBI regulations.

- Draft, review, and approve board resolutions, shareholder agreements, and other corporate documents.

- Coordinate with the board of directors and senior management on corporate governance matters.

Joint Ventures and Mergers & Acquisitions:

- Provide legal and secretarial support for joint ventures, mergers, and acquisitions.

- Draft and negotiate joint venture agreements, share purchase agreements, and other relevant documents.

- Coordinate with legal counsel and other advisors to ensure smooth execution of transactions.

Secretarial Compliance:

- File statutory returns and forms with the Registrar of Companies (RoC) and other regulatory authorities.

- Maintain statutory records and registers.

- Conduct board meetings, general meetings, and committee meetings.

- Prepare and circulate meeting notices, agendas, and minutes.

Legal and Regulatory Compliance:

- Advise on legal and regulatory matters, including labor laws, environmental laws, and tax laws.

Represent the company before regulatory authorities and legal forums.

- Monitor changes in laws and regulations and ensure compliance.

Risk Management:

- Identify and assess legal and regulatory risks and implement mitigating measures.

- Develop and maintain a robust compliance framework.

Qualifications and Experience:

- Qualified Company Secretary (CS).

- 15+ years of experience in a corporate law firm or in-house legal department of a manufacturing company.

- Strong understanding of Joint venture , Due Diligence, corporate laws, securities laws, SEBI regulations, and labor laws.

- Excellent drafting, negotiation, and communication skills.

- Strong attention to detail and organizational skills.

- Ability to work independently and as part of a team.
