Our client is a 200 crores business, with a highly visible brand, and growing.
We are on the look out for Company Secretary.
The Key responsibilities are
1. Corporate Governance and Compliance:
- Ensure the company complies with the Companies Act, 2013 & related regulations.
- Maintain all statutory registers and ensure proper filing of forms, returns, and financial statements with the Registrar of Companies (ROC).
- Organize, schedule, and provide secretarial support for Board Meetings, CSR Committee Meetings, AGM, &EGM
- Prepare and distribute agenda, notices, board resolutions, and minutes of meetings in compliance with secretarial standards.
- Implement corporate governance practices, ensuring the company adheres to ethical and legal standards.
2. Stakeholder Communication and Investor Relationship:
- Ensure effective communication between the company and its shareholders, regulators, and other stakeholders.
- Manage and handle processes related to the issuance of shares, share transfer, and dividend distribution.
- Resolve shareholder disputes and manage shareholder meetings, including drafting notices and resolutions.
- Submission of the periodic information to the investors and other stake holders.
3. Filing and Reporting
- Ensure timely filing of various statutory forms, returns, and documents with the ROC.
- Prepare and submit annual and event-based returns including Annual Return, Directors' Report, CSR Policy and Financial Statements.
- Handle filings related to changes in directors, share capital, registered office, or any amendments in the Memorandum or Articles of Association.
4. Legal Compliance and Advisory
- Act as a advisor to the Board of Directors on legal and statutory matters.
- Draft, review, and manage legal documents, contracts, agreements, and Memorandum of Understanding (MoU) to safeguard the company's interests.
- Liaisoning with the various departments and submit the periodical compliance MIS to the management
Education & Experience:
- Qualified Company Secretary from the Institute of Company Secretaries of India (ICSI).
- Additional qualifications such as LLB (Law) or Master's Degree in Corporate Law may be preferred.
- Minimum of 6-8 years of relevant experience in the companies having PE/VC investment or Listed in Stock Exchange.
- Excellent drafting skills for preparing notices, resolutions, minutes,& legal agreements.
- Capability to handle sensitive and confidential information.
- Proficiency in secretarial software tools and ROC filing systems (e.g., MCA portal).
- Effective communication and interpersonal skills for stakeholder management
