A challenging opportunity with a Well Funded Start Up Organisation

CS with Start up experience preferred

WHAT YOU'LL BE DOING:

- Managing the Corporate Governance, Secretarial and Legal functions

- Timely update on addition of new regulations/laws and/or modification to existing regulations/laws and impact of the same on the Company.

- Understanding w.r.t. ESOP Schemes and management of ESOPs and experience in working on the same.

- Drafting of internal policies, processes and documentation to ensure that they are in compliance with all statutory or legal requirements.

- Preparing/Drafting of Compliance Report, compliance framework/process note to ensure all laws are fully adhered to

- Collating data requirements w.r.t. various audits/due diligence and follow up on the action points arising out of audit observation.

- Drafting of relevant papers, minutes, resolutions etc. for Board, Committee, General Meetings and preparation of other secretarial documents like Directors Report.

- Handling the Due Diligence process and Statutory Audits

- Registering the company and other related work

- Statutory Compliances filings

- Convening and servicing board and annual general meetings

- Managing other assignments and providing support to committees and working parties such as board of directors

- Liaising with external regulators, solicitors and auditors

- Presentation of Monthly/Quarterly/Annual basis to Management on various reports

- Drafting/vetting of documentation for NDA, Agency Engagement letters, fund raising and related documentation including term sheets, Shareholders Agreements etc.

- Draft and send legal notices

- Maintain & present legal scrutiny reports

- Create and manage Legal Document Repository

WHAT YOU'LL BRING TO THE TEAM:

- Strong understanding of compliance and interpretations on provisions of the Companies Act, 2013

- Ability to manage internal and external stakeholders

- Ability to single handedly convening board meetings

- Expertise in drafting agenda & MOM, reporting, research, legal administration

- Ability to manage multiple tasks at single instance within compressed times

- Adhering to the statutory compliance

- Expertise in Legal documentation & matters
