Job Summary:
We are seeking an experienced and detail-oriented Company Secretary to join our team. The Company Secretary will play a pivotal role in ensuring the company's compliance with legal and regulatory requirements, managing corporate governance practices, and supporting the Board of Directors in their duties. The ideal candidate will have a strong background in corporate law, excellent organizational skills, and the ability to handle confidential information with discretion.
Key Responsibilities:
- Corporate Governance:
o Advise the Board of Directors and senior management on corporate governance best practices.
o Ensure that the company complies with statutory and regulatory requirements.
o Organize and attend board meetings, prepare agendas, and take minutes.
- Regulatory Compliance:
o Maintain and update the company's statutory registers and records.
o File necessary documents with regulatory authorities (e.g., annual returns, financial statements).
o Ensure compliance with relevant legislation, including the Companies Act and any other applicable regulations.
- Board Support:
o Act as the point of communication between the Board of Directors and shareholders.
o Provide administrative support to the Board, including the preparation and distribution of board papers.
o Ensure that board decisions are properly communicated and implemented.
- Shareholder Relations:
o Manage communication with shareholders, including the organization of annual general meetings (AGMs) and extraordinary general meetings (EGMs).
o Handle shareholder inquiries and resolve any issues that arise.
o Oversee the issuance of share certificates and maintain the company's share register.
- Documentation and Record Keeping:
o Ensure that the company's records are accurately maintained and securely stored.
o Prepare and manage documentation for significant corporate events (e.g., mergers, acquisitions).
o Ensure that the company's policies and procedures are documented and up-to-date.
- Risk Management:
o Identify and address any potential risks related to corporate governance and compliance.
o Work with the risk management team to implement effective risk mitigation strategies.
o Ensure that the company has adequate insurance coverage.
- Training and Development:
o Provide training and guidance to the Board of Directors and senior management on corporate governance issues.
o Stay up-to-date with changes in legislation and advise the company accordingly.
o Promote awareness of best practices in corporate governance and compliance throughout the organization.
Qualifications:
o Bachelor's degree in law, Business Administration, or a related field.
o Chartered Secretary qualification (e.g., ICSA) is highly desirable.
- Experience:
o Minimum of 5 years of experience in a company secretarial or corporate governance role.
o Experience working in a corporate environment.
- Skills:
o In-depth knowledge of corporate law and regulatory requirements.
o Excellent organizational and administrative skills.
o Strong communication and interpersonal skills.
o Ability to handle confidential information with discretion.
o Proficiency in using company secretarial software and Microsoft Office Suite.

Preferred Qualifications:
- Master's degree in law, Corporate Governance, or a related field.
