We are looking for a Company Secretary with IPO experience for a Leading Fintech Brand

Location : Okhla Phase 1, Delhi

Education : CS

Experience : 7+ Years of experience post CS


Job Summary:

- We seek a highly skilled and experienced Corporate Secretary with a strong background in handling Initial Public Offerings (IPO).


- The successful candidate will play a pivotal role in ensuring the company's compliance with corporate governance regulations and overseeing all legal and regulatory aspects of the IPO process.


- This position requires deep knowledge of securities laws, corporate governance, IPO requirements, and exceptional organizational and communication skills.

Key Responsibilities:

IPO Management:

- Lead the legal and regulatory process for the company's Initial Public Offering (IPO).

- Collaborate with internal and external stakeholders, including investment banks, legal counsel, and regulatory authorities.

- Prepare and file required documentation for IPO registration, including prospectus, SEC filings, and compliance-related documents.

- Oversee due diligence processes and ensure all disclosures are accurate and complete.

Corporate Governance:

- Serve as the primary point of contact for the Board of Directors, ensuring effective communication and coordination.

- Ensure compliance with corporate governance requirements, including preparation of board meeting agendas, minutes, and resolutions.

- Advise the board on legal and regulatory obligations, governance best practices, and the impact of IPO on the company's structure.

Compliance and Regulatory Filings:

- Maintain compliance with local securities laws, stock exchange regulations, and post-IPO obligations.

- Ensure timely filing of corporate documents with relevant authorities.

- Manage shareholder communication and ensure adherence to corporate policies and investor relations.

Board Support:

- Provide administrative support to the Board of Directors, including scheduling meetings, preparing materials, and maintaining records.

- Coordinate and facilitate annual general meetings (AGMs) and special meetings of shareholders.

Risk Management:

- Assess and mitigate risks associated with the IPO process, corporate governance, and compliance.

- Stay updated on changes in corporate governance laws, IPO regulations, and market trends.
