Company Secretary- FMCG
Role :
- Advising on secretarial matters and assisting in drafting various matters for the organization.
- Covering the Companies Act and periodical compliance under the Companies Act and SEBI listing regulations and monitoring changes in statutes while ensuring compliance.
Responsibilities :
- Advising businesses and subsidiaries on secretarial matters viz. matters related to agenda, minutes, governance and compliance.
- Maintaining statutory books, including registers of members, directors and secretaries.
- Preparation of agenda and minutes for management committee meetings including AGM.
- Ensuring compliance and advising on matters related to corporate governance liaison.
- Providing advice and counsel to respective functions on legal issues, including contract laws, employment / disciplinary matters, corporate investigations, trade regulations, product liability, privacy, etc.
- Understanding and monitoring the company's operations, identifying and interpreting applicable laws and effect statutory compliance.
- Advising on e-filing procedures and documents to be prepared for the purpose of filing relevant forms under various statutes.
- Supporting all aspects of the company`s intellectual property (copyrights and trademark)and also giving advice on legal & metrology matters.
- Coordinating with internal/external stakeholders.
Education Qualification required :
- C.S. and L.L.B/L.L.M. (Preferred)
Key Skills and Attitude Required :
- Should be a qualified Company Secretary with 8-12 years of experience in a publicly listed medium / large size corporate.
- Experience in manufacturing/FMCG sectors will be preferred.
- Should have knowledge of Companies Act, SEBI Regulations (especially Listing Regulations), Corporate Laws and Corporate Governance matters.
- Should have independently handled (for at least 3-5 years) listing compliances, Board & General Meetings, reporting to statutory & regulatory bodies and other matters relating to corporate law
- Should have great command over the English language and should have good drafting and communication skills.
Experience :
- 8 to 12 years of experience post qualification in FMCG / OTC (Preferably in Personal Care)
- Experience in communicating with senior-level personnel
- Demonstrated ability to implement process-driven solutions to Company Secretarial issues.
- Exposure to an in-house Company Secretarial department
