Company Secretary
Job Responsibilities:
1. Oversee corporate governance practices, ensuring compliance with laws, regulations and company policies
2. Maintain adherence to regulatory requirements imposed by RBI, SEBI, Stock Exchanges, Depositories and other sectoral regulators
3. Conduct and finalize Board Meetings and General Meetings, including precise drafting of meeting minute
4. Provide valuable advice to the Board on corporate governance practices and ensure compliance with governance requirements and best practices
5. Establish and maintain a robust statutory compliance mechanism, including creating a compliance manual and tracker
6. Keep the Management and Board informed with regular updates and guidance on compliance matters
7. Collaborate with finance and business teams to address compliance-related issues and handle regulatory scrutiny effectively
8. Oversee the timely filing of required forms, reports, and documents under various applicable laws
Job Requirements:1. Educational Qualification: Bachelor's degree in Law, Commerce, Business Administration, or a related field and CS (Company Secretary)
2. Experience: Minimum 5+ years of experience as a Company Secretary in the financial services industry
3. Regulatory Knowledge: In-depth knowledge of company law, SEBI regulations,and laws governing merchant banks
4. Communication Skills: Excellent verbal and written communication skills to effectively handle legal and governance issues
