Company Secretary cum Financial Controller

- Responsible for Secretarial functions of the Business unit, Legal affairs & Company Law

- Control over-all Financial discipline, Financial Compliance.

- Prepare Annual Budget of the Business Unit in co-ordination with operations & administration

- Preparation of financial statement, attending both statutory cum internal audit, direct and indirect taxes including appearance before the AO and Appellate Authority, Labour Laws, FEMA, Commercial Laws

- Financial Planning & Analysis, Budgeting, Finalize the Balance Sheet

- Conducting Meeting of the Board of Directors and shareholder's meeting and preparation of minutes/setting agenda.

- Dealing with Registrar of Companies (ROC), Ministry of Corporate affairs (MCA), Secretariat of Industrial Approval, RBI and Foreign Investment Promotion Board (FIPB).

- Managing timely submission and e-filing of various returns/ forms for compliance under the provisions of the Companies Act, 1956 and MCA - 21 and RBI under FEMA (Foreign Exchange Management Act).

- Maintenance and updation of statutory registers, records including board meeting minute books.

- Preparation of due-diligence report for companies commencing business in India or to be entered into agreement with any Indian entity.

Qualifications, Experience & Skill Sets :

- CS & CA or CWA or MBA (Finance) with Overall 5-8 years having independently managed the functions for considerable duration within a Service Industry.

- The candidate should be a member of the Institute of Company Secretaries of India.

- Well versed with project accounting, finalization of Balance sheet, MIS Reports etc.

- Good experience in SAP.

- Age Not more than 30.
