Supporting Actions
To convene meetings as per secretarial standards & ensure the company Laws are adhered to regularly and on an ongoing basis.
- To convene board/general/committee meetings & ensure that they conform to board/committee charters & regulations.
- To draft notices, agenda & minutes & follow up on the implementation of resolutions decided in the meetings.
- To liaise with regulatory bodies like registrar of companies, company law board & government agencies for statutory compliances & other secretarial work
- Monitoring changes in relevant legislation, regulations affecting the company.
- Creating Standard operating practices and standard templates.
- To craft the legal & compliance process framework for the organization
- To keep board members up to date with regulations to enable them to decide upon strategic issues and economical changes affecting the company.
- To periodically file returns under the Ministry of Corporate Affairs & ensure compliance with the statue.
- To implement corporate governance & secretarial practices in line with group standards.
- To maintain all the statutory registers as required to be kept under company law.
- Enlisting the various applicable statutes and the compliance requirements, compliance manual, monitor its adherence & resolve compliance issues.
- Ensuring compliance with the corporate and other applicable RBI/IRDA/SEBI regulations and acting as Compliance officer to ensure strict adherence to them.
- To advise regulatory developments and emerging legal trends affecting the Company.
- Interacting with RBI/SEBI and other government agencies.
- To manage filing of documents with various statutory bodies
- To file forms, documents as stipulated by SEBI, RBI, IRDA etc.
- To maintain business licenses & other documents on the basis of corporate actions.
- To conduct continual secretarial audits & facilitate internal audits.
