Company Profile: National Urban Co-operative Finance and Development Corporation Ltd. (NUCFDC) is a registered NBFC mandated by Reserve Bank of India to play the role of Umbrella Organisation for India's Urban Co-operative Banking (UCB) sector. The company is in a start-up phase and aims to provide a comprehensive range of fund-based and non-fund-based services to member banks, including cutting-edge IT platforms and products. The vision is to promote operational efficiency and enhance the competitiveness of the UCB sector.

Job Description:

A. Responsible for the secretarial function and reporting system:

- Arranging meetings for the Board of Directors, Management Committee and AGM as well as coordinate to ensure that all resolutions have been implemented and complied with the Company's Articles of Association.

- Providing support for Directors and Executives to attend training courses in their relevant areas.

- Arranging Directors' training/briefing for newly appointed Directors.

- Informing Directors and Executives of any changes in regulations related to them.

- Evaluating the performance of the Board of Directors.

B. Ensuring compliance and corporate governance:

- Ensuring the compliance of the Company and the Board of Directors with the relevant laws, rules & regulations, resolutions of both the Board and AGM's meetings including corporate governance practices.

- Preparing and keeping important documents of the Company

C. Overall Experience:

Qualification:

Education:


- Should be a Qualified Company Secretary. Graduate from a recognized University. LLB qualification is desirable.

Professional Experience:

i. Post qualification, minimum secretarial experience of preferably 15 years in a similar organisation. Age Less than 55 Years

ii. The applicant should have a minimum secretarial experience of 5 years in NBFC regulations, Banks or financial Institutions.

- S/He should be familiar with matters pertaining to Company Law, Secretarial functions, Compliances required by Reserve Bank of India / Registrar of Companies in respect of NBFCs, Legal, Finance Accounts, Income Tax, Sales Tax & Insurance etc.

- Should be well versed with RBI,SEBI & FEMA regulations

Key Qualities: Excellent written, oral communication and interpersonal skills, analytical ability, initiative, drive and commitment to quality system.

D. Term Contractual Engagement will be for a minimum of 3 years to maximum of 5 years, which may be renewed for additional term at the discretion of NUCFDC.
