Responsibilities :

- Experience working for a global financial institution

- Conducting Board and Committees' meetings

- Company law related compliances

- Maintain statutory registers

- Drafting of board and committee agenda notes and minutes, Board's Report, Notice and AGM, FEMA Compliances, RPT Compliances.

- Filing of e-forms

- Dealing with shareholders representatives and their queries/requirements

- Vetting of legal documents

- Support the external auditors and internal audit in their testing of the controls pertaining to statutory approvals/ registrations.

- Monthly report to management on status of compliances.

- Monitoring notices received from statutory authorities and other parties and ensuring appropriate action.

- Advising management and internal teams on applicable laws and amendments from time to time.

- Other tasks and project work as required.

Experience

- 10-13 years of relevant experience.

- Strong analytical, organizational, communication, and people skills.

- Knowledge and experience of contract law, company law, foreign exchange regulations, secretarial standards and governance, statutory compliance is required.

- Good Investor and Shareholder communication skills.

- Consultative approach while advising on the matters.

- Payment/ FinTech/ Wallet/ Remittance/ NBFC/ banking experience.

- Assist in and provide corporate governance and company secretarial support for legal entities incorporated in global region.

- Help ensure that appropriate company secretarial practices are developed, implemented, and continuously improved, as per relevant regulatory requirements from time to time.

- Conduct Board meetings, Board Committee meetings & general meetings of the Company.

- Drafting of documents and applications to secure approvals from Board of Directors and corporate shareholders.

- Respond to external and internal requests for legal entity and corporate governance information.

- Participate in and in some cases manage legal entity projects, collaborating with colleagues based in other countries
