Mandatory Requirement:
- In-depth understanding of regulatory requirements specific to the Banking, Financial Services, and Insurance (BFSI) sector.
- Thorough knowledge of company secretarial practices and procedures.
- Strong understanding of corporate laws, SEBI regulations, and other applicable statutes.
- Excellent written and verbal communication skills.
- Ability to analyze complex regulatory and legal issues.
- Ability to collaborate effectively with cross-functional teams.
Job Roles and Responsibilities:
- Ensure compliance with statutory and regulatory requirements related to corporate governance.
- Organize and manage board meetings, including preparation of agenda, minutes, and resolutions.
- Stay abreast of changes in relevant laws and regulations affecting the BFSI industry.
- Oversee and ensure timely filing of necessary documents with regulatory authorities.
- Maintain and update all statutory records and registers as required by law.
- Safeguard and manage important corporate documents.
- Assist in the preparation of board and committee meeting materials.
- Facilitate communication between board members and executives.
- Manage communication with shareholders and regulatory bodies.
- Ensure timely disclosure of relevant information to stakeholders.
- Collaborate with internal departments to identify and mitigate legal and compliance risks.
- Assist in the development and implementation of risk management policies.
- Prepare and submit various compliance reports to regulatory authorities.
- Respond to queries and requests from regulatory bodies.
Qualification and Experience:
- Qualified Company Secretary (ACS).
- Additional legal qualifications would be an advantage.
- Minimum 1 year of relevant experience in the BFSI industry.
- Proven track record of ensuring compliance with regulatory requirements.
