Responsibilities:
Company Secretarial:
1. Drafting & preparation of Notice, Agenda, Resolutions, Recording of Minutes and all related documentation pertaining to all the meetings viz. Board Meetings, AGM/ EOGM;
2. Updating the statutory records of the Company;
3. Ensure compliances under Companies Act, 2013 and Secretarial Standards which inter alia includes the following:
a) Procedures relating to rights issue, private placement, bonus issue and allotment of shares. Increase in authorised share capital;
b) Procedure relating to share transfers;
c) Appointment and cessation of Directors, KMP etc;
d) Preparation of Board Report and filing of Annual Financial Statements and Annual Returns;
e) Amendment in Charter Documents;
f) Incorporation of Company;
g) ESOP compliances;
h) Creation, modification and satisfaction of charges.
4. Ensure compliances with Foreign Exchange Management Act, (e.g., filing of FC-GPR, FC-TRS and downstream investments);
5. Effectively communicate with shareholders and regulatory authorities pertaining to day-to-day company matters;
6. Provide company documents, agreements and other relevant records as requested by other Company departments (e.g., Operations, Finance, Compliance, Marketing, etc.);
7. Preparing Process Notes and SOPs for corporate actions of the group companies.
Legal:
1. To draft and/or review commercial contracts and advise on stamp duty implications for such documents;
2. Assisting in briefing, coordinating and liaising with external legal counsels about various legal issues concerning the group;
3. To provide support to investors legal teams during legal due diligence exercise conducted by them;
4. To develop and update legal and contract compliance and management tools for the group.
Qualifications/Experience
1. Experience: 5-6 years
2. Educational qualification: C.S. (LLB as an additional qualification will be an added advantage. Qualified Company Secretary candidates pursuing LLB may also apply).
3. Previous experience in BFSI/NBFC's is a plus point
Personal Attributes and Competencies
1. Should possess effective communication skills since the role involves co-ordination with various departments in the organisation;
2. Must be a self-starter and willing to learn and take up new assignments.
3. Should posses good drafting skills and have an eye for details;
4. Basic knowledge of Intellectual Property Rights is preferred but not mandatory;
5. Should be flexible while working with deadlines;
6. Should be comfortable handling work for multiple companies in the group;
7. Possess high levels of integrity and be a good team player.
