Company Secretary
Location: Mumbai
- You will be required to also advice and opine on governance matters. The individual will be responsible for all compliances under the Companies Act pertaining to the office of the Company secretary in India. In addition, you will have the opportunity to build and shape a team that will support the Office of the Corporate Secretary team in the U.S.
- It involves supporting subsidiary governance, managing legal entities system, drafting & maintaining regulatory related documents (details provided below), Liaising and managing board meetings, shareholders meetings, partners & providing supporting to governance functions of the organization.
Key Duties & Responsibilities:
- To hold the position of the company secretary of the India entity and handle all entity related board and committee meetings, filings, regulatory aspects pertaining to a company secretary's role.
- Advice and opine on governance matters. Be responsible for all compliances under the Companies Act pertaining to the office of the Company secretary in India.
- Providing subsidiary governance support for multi-jurisdictional entities and, through that support, ensuring company's compliance with various regulations and legal standards
- Management of company's legal entity management system, including assistance with the formation and dissolution of entities in various regions, primarily domiciled in the State of Delaware
- Draft, review and revise organizational documents and consents, including certificates of incorporation, by-laws, charters and operating agreements, as required
- Ensure the accurate maintenance of corporate records and assist with the timely submission of regulatory filings
- Document procedures for the processes that you support and report on compliance with those procedures
- Managing board and shareholder meetings, including scheduling, completing related local filings in a timely manner and ensuring frequent and reliable communications with all directors and management on relevant business matters
- Taking action for and providing governance-related advice to the Office of the Corporate Secretary, Regulatory Reporting, Accounting, Tax, Treasury, Risk & Compliance and Legal teams
- Liaising with our partners in the Asia Pacific, Europe and U.S. regions as well as with auditors and external legal advisers
Skills Required:
- ICSA qualified with at least 10-15 years of experience in a similar role;
- Legal qualifications and experience preferred
- Excellent knowledge of governance best practices, relevant issues, statutory requirements and regulations, including Delaware corporate law;
- Experience with multi-national companies, especially in the financial services industry and/or public company corporate governance;
- Excellent written and verbal communication skills;
- Ability to work in a challenging environment and meet significant deadlines consistently;
- Methodical attention to detail and accuracy;
- Confident, professional manner, team player;
- Flexibility to work during Eastern Standard Time, as necessary;
- Familiarity with investment products, including private equity investment vehicles and mutual funds, will be considered an advantage;
