Job Title : Company Secretary
Location : Bangalore, India (Open to candidates from other locations)

Position Overview :
Our client, a company in the Aerospace Engineering domain, is seeking a highly skilled and qualified Company Secretary to join the team in Bangalore. As a Company Secretary, you will be responsible for ensuring the company's compliance with all legal and regulatory requirements, as well as providing support in corporate governance matters. The ideal candidate should have a strong background in company secretarial functions and possess excellent organizational and communication skills.
Key Responsibilities :
1] Compliance and Governance:
- Ensure compliance with applicable laws, regulations, and corporate governance guidelines.
- Maintain statutory registers, books, and records as required by law.
- Prepare and file necessary documents, returns, and forms with regulatory authorities.
- Assist in organizing board meetings, general meetings, and committee meetings, including drafting agendas, preparing minutes, and managing resolutions.
- Provide guidance on corporate governance practices and ensure adherence to corporate governance standards.
2] Company Law and Regulations:
- Stay updated with changes in company law and regulations and communicate relevant information to the management and stakeholders.
- Advise the management on legal and regulatory matters affecting the company.
- Assist in drafting and reviewing legal agreements, contracts, and other legal documents.
3] Secretarial Support:
- Provide secretarial support to the board of directors and management, including preparing and distributing meeting materials, coordinating schedules, and handling correspondence.
- Maintain and update the company's corporate records, registers, and other relevant documents.
- Facilitate effective communication between the board, management, and shareholders.
4] Shareholder Relations:
- Manage communication and relationships with shareholders, ensuring timely dissemination of information, handling queries, and addressing concerns.
- Coordinate the organization of annual general meetings, including the preparation of notices, agendas, and other related documents.
5] Corporate Restructuring and Compliance:
- Assist in corporate restructuring activities, including mergers, acquisitions, and joint ventures.
- Conduct due diligence exercises and ensure compliance during restructuring processes.
- Liaise with external advisors, auditors, and legal counsel as required.
Qualifications and Requirements:
- Qualified Company Secretary (CS) with a minimum of 5 to 7 years of relevant experience.
- In-depth knowledge of Indian company law, SEBI regulations, and corporate governance practices.
- Experience in managing compliance and governance requirements in a corporate setting.
- Strong organizational skills with meticulous attention to detail.
- Excellent written and verbal communication skills.
- Ability to work independently, prioritize tasks, and meet deadlines.
- Proficient in using MS Office applications.
- Experience in the aerospace engineering domain will be an added advantage.
