Job Description:
- Handing of Incorporations of Companies both Indian and Subsidiary of Foreign Company and LLPs.
- Preparation of resolutions, notices and agendas, Minutes and other papers for board meetings, committee's meetings, and annual general meetings (AGMs) and follow up on action points.
- Formation of Partnership firms (including drafting of agreement and registration formalities with Registrar of firms).
- Online application for PAN and TAN of Entities.
- Maintenance of statutory books and registers required under Companies Act.
- ROC Compliances, Preparation of various forms and filing the same on regular basis.
- Handling of ad-hoc assignments, Capital infusion (Rights and Private Placement), change in board constitution, Transfer of shares, Shifting of registered office, conversions of entities, striking off of the company etc.)
- To assist in preparation of Directors report/Annual Report.
- To prepare and file forms required under FEMA regulations (FCGPR/FCTRS/FLA)
- To assist in the drafting and filing of applications and forms pertaining to Overseas Direct Investment (ODI), Foreign Direct Investments (FDI) and matters related to External Commercial Borrowing (ECB).
- Handling of LLP annual compliances and reporting changes in Partners/registered office etc.
- Overall assistance in Compliance of Companies Act 2013, LLP Act and RBI Fema Regulations.
- To track down updates in the Companies Act and related laws and ensure timely compliance.
