Job Description:

As a Company Secretary with 5 years of experience, you will play a crucial role in ensuring the smooth and efficient functioning of the company's corporate governance and compliance processes. Working closely with senior management and various stakeholders, you will be responsible for a range of duties aimed at maintaining legal and regulatory compliance.
Key Responsibilities:
Corporate Governance:
- Assist in organizing and managing board meetings, including the preparation of agendas and minutes.
- Maintain statutory records and ensure compliance with relevant laws and regulations.
- Provide guidance to the board on corporate governance best practices.
Compliance Management:
- Monitor and ensure compliance with statutory and regulatory requirements.
- Prepare and file necessary documents with regulatory authorities.
- Stay updated on changes in corporate laws and regulations affecting the company.
Company Secretarial Functions:
- Act as a point of communication between the board, management, and shareholders.
- Draft and review legal documents, contracts, and agreements.
- Manage the company's register of members and other statutory registers.
Risk Management
- Identify potential areas of non-compliance and work to mitigate risks.
- Provide advice on legal and compliance issues to management.
Communication and Reporting:
- Prepare and circulate reports to the board and relevant committees.
- Communicate with shareholders and respond to their queries
Collaborations
- Work closely with other departments, such as legal, finance, and human resources, to ensure coordinated efforts in compliance and governance matters.
Professional Development:
- Stay informed about changes in relevant legislation and industry best practices.
- Attend training and professional development programs to enhance skills.
Qualifications and Skills:
- Bachelor's degree in Law, Business, or a related field.
- Qualified Company Secretary (ACS or equivalent).
- 5+ years of relevant work experience.
- Strong knowledge of corporate laws and regulations.
- Excellent communication and interpersonal skills.
- Attention to detail and strong organizational abilities.
- Ability to work independently and collaboratively.
