Position: Company Secretary
Location: Gurgaon
Job Summary:
The Company Secretary plays a crucial role in ensuring that the company adheres to legal and regulatory requirements, manages corporate governance, and supports the Board of Directors and senior management in making informed decisions. This position is responsible for maintaining the company's legal compliance, corporate records, and facilitating communication between shareholders, the board, and management.
Key Responsibilities:
Corporate Governance:
- Advise the Board of Directors on corporate governance best practices and legal matters.
- Organize and attend board meetings, annual general meetings (AGMs), and other shareholder meetings.
- Draft minutes of meetings, ensure proper documentation of decisions, and maintain corporate records.
- Monitor and ensure compliance with statutory regulations and corporate policies.
Legal and Regulatory Compliance:
- Ensure compliance with all applicable laws, regulations, and corporate governance standards.
- Handle regulatory filings and reporting requirements with relevant government agencies.
- Prepare and submit annual returns, statutory reports, and other legal documents as required by law.
Liaison and Communication:
- Serve as a key point of contact between the board, management, and stakeholders.
- Facilitate communication between shareholders and the company, ensuring timely responses to shareholder inquiries.
- Manage the company's shareholder register and corporate resolutions.
Advisory Role:
- Provide legal advice to the company on various matters such as mergers, acquisitions, joint ventures, and corporate restructuring.
- Assist with the interpretation and implementation of company policies and strategies.
- Stay updated on industry trends, corporate law, and regulatory changes.
Record keeping and Documentation:
- Maintain accurate and up-to-date corporate documents, including bylaws, articles of association, and shareholder agreements.
- Ensure the proper execution of legal documents, such as contracts, resolutions, and agreements.
Ethics and Integrity:
- Promote a culture of compliance, ethical conduct, and corporate integrity throughout the company.
- Manage conflict-of-interest situations and ensure transparency in board activities.
Other Duties:
- Assist with the preparation of board reports, business plans, and strategic documents.
- Coordinate with external legal advisors, auditors, and regulatory bodies.
Qualifications:
- A degree in Law, Business Administration, or a related field.
- Qualified Company Secretary (ACIS, FCIS) or equivalent certification.
- Minimum 3 years of experience in a corporate governance, legal, or compliance role.
- Strong understanding of corporate law, governance, and regulatory frameworks.
- Excellent organizational and communication skills.
- Attention to detail and the ability to handle confidential information.
