All compliances applicable to the Company in respect of Companies Act, 2013.

- Coordinating for Board Meeting agenda with various departments

- Assistance in conducting the meeting and drawing up the minutes

- Follow up with various departments for post-meeting action-points completion

- Coordinating, assistance in conducting shareholders' meeting and drawing up minutes

- Ensuring that the Board complies with the Secretarial Standards with respect to Board, Committee and shareholder meetings

- Periodic Compliance filing with ROC by coordinating with Practicing Company Secretary

- Signing of Annual Return and Financial Statements

- Maintenance of all Board and Shareholder related documents including Statutory Registers at the Registered office of the Company

- CSR Policy management and execution - Assisting the CSR team in execution of the projects, sourcing implementation partners and compliance with the CSR provisions. Facilitating CSR committee meetings

- Coordinating with the CFO/Head of Finance, Legal Head, Internal Audit, HR and other functional heads with respect to various legal compliances, providing advisory and clarifications wherever required

- Liaising with the statutory auditors

- Replying to any notices/queries from the regulatory - Registrar of Companies, Ministry of Corporate Affairs

Import-Export Transactions

FDI reporting

Advisory

- Monitoring the registrations and compliances with various laws including labour related legislations (in co-ordination with the HR team) - since ultimately it is the Board of Directors which is accountable for all compliances

- Contract Management - Drafting & vetting of contracts with vendors, customers and other parties.

- Policy Management - Compliance with various Policies of the Company such as POSH,CSR, HR, Anti-bribery etc.

- Coordination with the Auditors i.e. Statutory Auditor, Cost Auditors, Internal Auditor as well as in case of any group audit is conducted.

- Coordination and liaison with Bankers of the Company in various instances.

- Replying to SCNs, notices and appearing before various regulatory/quasi-judicial bodies.
