Job Purpose
In the last few years, Cipla has executed inorganic deals of more than $1bn. To fulfil our aggressive 2022 strategic objectives, we look forward to identify and execute further inorganic opportunities in our chosen markets, therapies and capabilities. The incumbent will be Cipla's spokesperson for all our deals and will represent us at various forums related to M&A & Strategy. The person will plan and lead inorganic growth opportunities and ensure successful execution of strategic mandates (such as acquisition, divestments, fund raising etc.) to support Cipla's future business goals.
Reports to: Chief Strategy Officer
Key Accountabilities
I. Lead efforts in identifying inorganic growth opportunities focusing on acquisitions that are in line with the overall business direction - Engage with the business and strategy teams to understand the area of inorganic growth identified for Cipla
- Discuss and identify potential targets within the identified area of growth in consultation with business teams
- Evaluate the current set of identified targets, particularly within the US, to foray into the specialty products domain
- Develop the strategy and approach to reach out to each of the identified targets
- Analyze the plans, recommendations and investment proposals researched and prepared by the team
- Provide guidance to the business teams on an ongoing basis in identifying and assessing opportunities
II. Drive thorough due diligence for all potential deals identified and agreed upon for pursuing, by setting up systems and processes to ensure higher success rates of deals
- Oversee conversations with potential sellers to ensure that the terms and conditions discussed are favorable to Cipla
- Oversee assessment of deal structures, opportunities, valuation drivers, and financial reporting implications across the options and provide relevant inputs
- Drive effective deal negotiation and identification & management of potential value leakage in the closing/ post-closing phases of a transaction from contractual items to capital-raising to integration preparation and beyond
III. Drive the smooth execution of the key ongoing mandates around fund raising, divestments, and re-evaluating of past deals
- Determine the approach and sources of fund raising for Cipla, including identification of relevant external partners
- Manage and oversee effective divestment of businesses that have been identified by Cipla, focusing on those that are not aligning to the future strategic direction of the company
- Evaluate and conclude the JV arrangements for applicable geographies
- Drive the operations restructuring process in applicable geographies
IV. Lead the documentation and communication process for deals being undertaken in order to share consistent information across stakeholders
- Review the content going out to all stakeholders and establish guidelines for sharing information
- Ensure timely report and analysis through the team to enable accurate information sharing
- Disseminate detailed deal information in forums such as strategy and deals committee
V. Nurture and build the internal team to strengthen their ability to operate independently
- Observe and track the team's performance against scorecards and KPIs
- Ensure that the team undergoes regular training to upskill their technical capabilities
- Enable the team to work independently in order to build a pool of effective managers
- Provide ongoing support to the team to drive motivation and engagement at work
Educational qualifications: MBA or a CA
Relevant experience:
- 10+ years- relevant experience (Corporate Finance and strategy and M&A)
- At least 8-10 deals hands-on experience as owner/coordinator.
