Function : Corporate Strategy and Planning
Designation : Chief Manager
Location : Kolkata
Purpose of the role :
Assistance with and management of Legal, Regulatory, Compliance and Contract Review processes, activities and space.
Responsibilities :
- Drafting, review, vetting and negotiation of operative legal documents, including but not limited to, formal agreements, memos, letters of correspondence, etc.
- This shall mainly include but will not be limited to, lease deeds, leave and license agreements, financing and security documentation, preparation of legal notices and responses thereto
- Structuring, formalization and finalization of cross-border contracts, with a special focus on definitive transaction documents such as JV Agreements, Share Purchase and Shareholders Agreements, etc.
Application of sharp and extensive problem-solving skills to :
- Erect an efficient system of risk minimization, keeping in mind the increased litigation/ contentious costs
- Enable a more realistic evaluation of potential liabilities that may arise as a result of the group's ongoing and future business operations
- Ensure conformity with the applicable regulatory, legal and taxation structures
Streamline and iron out any rough edges to ensure a symbiotic relationship and maximum synergies.
- Meaningfully liaising and coordinating with consultants and advisers locally situated in jurisdictions beyond India, where the group already has active operations or is looking to expand.
Key Competencies :
- Endowed with excellent communication, drafting and presentation skills
- Sound understanding of and familiarity with Indian corporate, financial and securities laws and regulatory framework
- Strong analytical skills with attention to details, and sharp commercial acumen
Possessed of essential soft skills such as :
- Effective interpersonal communication flow, and team work
- Ability to efficiently work, perform and deliver, and take quick decisions in time crunched situations
- Creative thinking and people management.
- Working knowledge of the financial services
- Ability to work independently and effectively in a fast-paced and intensive environment.
Qualification :
LLB, LLM, CS (or a mix of all)
Experience :
5-6 years of experience with a top-tier law firm, corporate house at a responsible position or a financial institution.
