Designation : Chief Manager - Corporate Legal

Location : Pune

Key Responsibilities:

Legal Advisory:

- Provide expert legal advice to senior management on a wide range of issues affecting the business.

- Interpret and explain legal provisions, implications, and risks to ensure informed decision-making.

- Stay abreast of changes in laws and regulations relevant to the NBFC sector.

Regulatory Compliance:

- Ensure the company's compliance with all applicable laws, regulations, and guidelines governing the NBFC industry.

- Develop and implement compliance policies and procedures. Liaise with regulatory bodies and authorities to address compliance-related matters.

Fund Raising:

- Lead and manage legal aspects of fundraising initiatives, including debt financing, equity fundraising, and other capital market transactions.

- Draft, review, and negotiate legal agreements, term sheets, and other relevant documents related to fundraising.

Contract Management:

- Review, draft, and negotiate a variety of contracts, agreements, and legal documents.

- Ensure that contracts comply with legal requirements and provide necessary protections to the company.

- Advice on contractual rights and obligations.

Corporate Governance:

- Ensure compliance with corporate governance principles and best practices.

- Provide support to the board of directors and committees on legal matters.

- Facilitate the smooth functioning of board meetings and record minutes.

Risk Management:

- Identify legal risks and implement measures to mitigate them.

- Conduct legal due diligence on potential business transactions.

- Advise on risk management strategies.

Team Management:

- Supervise and lead the legal team, fostering a collaborative and high-performance culture.

- Provide guidance and mentorship to junior legal professionals.

- Ensure effective communication and coordination within the legal department.
