CA required for Tax Due Diligence in M&A firm - 8 years experience - Noida
1. Lead and manage a team of tax professionals in performing due diligence reviews on target companies, ensuring timely completion and delivery of high-quality work.
2. Conduct detailed analysis of tax returns, financial statements, and other relevant documents to assess the accuracy and completeness of tax positions.
3. Identify and evaluate potential tax risks, exposures, and opportunities associated with proposed transactions, including tax liabilities, compliance issues, and tax planning strategies.
4. Collaborate with cross-functional teams, including legal, finance, and operations, to gather necessary information and assess the overall impact of tax-related matters on the transaction.
5. Prepare comprehensive due diligence reports summarizing findings, key issues, and recommended actions for clients and senior management.
6. Provide strategic tax advice and recommendations to clients based on due diligence findings, helping them make informed decisions and optimize tax efficiencies.
7. Support clients in negotiating tax-related provisions of transaction agreements, including representations, warranties, and indemnities.
8. Stay abreast of changes in tax laws, regulations, and accounting standards, and assess their implications on due diligence processes and client engagements.
9. Build and maintain strong client relationships through proactive communication, responsiveness, and delivering value-added services.
10. Mentor and coach junior team members, providing guidance on technical matters, professional development, and career progression.
Qualifications:
1. Master's degree CA is preferred.
2. Minimum 6 to 8 years of experience in tax due diligence, transaction advisory, or related areas within a public accounting firm, consulting firm, or corporate environment.
3. Strong understanding of tax laws, regulations, and accounting principles, with expertise in corporate taxation, M&A tax, and international tax issues.
4. Proven track record of leading due diligence engagements and managing teams in a fast-paced, client-focused environment.
5. Excellent analytical skills, with the ability to review and interpret complex financial and tax information effectively.
6. Exceptional communication and interpersonal skills, with the ability to interact confidently with clients, senior management, and cross-functional teams.
7. Detail-oriented approach with a commitment to delivering high-quality work and meeting tight deadlines.
8. Ability to work independently as well as collaboratively within a team, demonstrating leadership, initiative, and problem-solving capabilities.
9. Proficiency in tax software and MS Office suite (Excel, Word, PowerPoint), with experience in data analysis and modeling preferred.
10. Other Professional certification (CPA, CFA, or equivalent) is a plus.
