The Opportunity:

- We're seeking a qualified and experienced Company Secretary to join our team! This is a full-time role where you'll play a vital part in ensuring our company's compliance with the Companies Act, 2013 and relevant regulations.

- You'll work closely with various departments to manage statutory filings, prepare board and meeting materials, and maintain accurate corporate records.

Key Responsibilities:

Statutory Filings and Compliance:

- File various forms with the MCA portal as mandated by the Companies Act, 2013.

- Ensure timely filing of annual returns, balance sheets, and profit & loss accounts.

- Handle regulatory compliance related to listing of Non-Convertible Debentures (NCDs) on Stock Exchanges.

- Manage SEBI LODR (Listing Obligations and Disclosure Requirements) compliance for NCDs.

- Oversee Trustee compliance under SEBI regulations and RBI directions for NCDs and loan documents.

Board and Meeting Management:

- Prepare notices, agendas, and director reports for board meetings, committee meetings, and general meetings.

- Maintain accurate minute books for all meetings.

Corporate Governance:

- Coordinate with secretarial auditors, statutory auditors, internal auditors, Registrars and Transfer Agents (RTA), and trustees.

- Maintain, update, and safeguard statutory registers.

- Advise on corporate governance best practices and ensure adherence to company policies.

Qualifications:

- Member of the Institute of Company Secretaries of India (ICSI) (Master's degree in Company Secretarial practice preferred)

- Minimum 2+ years of experience working in the Microfinance and NBFC industry.

- Strong understanding of the Companies Act, 2013, SEBI regulations, and RBI guidelines relevant to Microfinance and NBFCs.

- Excellent analytical and problem-solving skills.

- Meticulous attention to detail and a commitment to accuracy.

- Strong communication and interpersonal skills, with the ability to collaborate effectively with various stakeholders.

- High ethical standards and impeccable professional integrity.

- Ability to work independently and manage multiple tasks efficiently
