General Manager - Company Secretary & Legal
Job Description:
- Drive end-to-end secretarial and legal function reporting to the CFO
- Coordinating with investors and board members for board meetings, resolutions etc.
- Manage and ensure all company compliances. Coordinate with relevant internal and external stakeholders for compliances.
- Maintain and manage the company compliance platform.
- Lead legal and secretarial due diligences.
- Drafting, commenting, negotiating, and closing typical business agreements such as NDAs, lease, franchisee, product partnerships etc.
- Responding to legal notices
- Coordinating and working with the legal counsels on special situations, equity investment and debt agreements
- Ensuring debt related compliances
Experience:
- At least 7-9 years of experience post qualification with Public or Private Company
- Deep knowledge of corporate secretarial matters for Indian Public and Private Companies
- Rights Issue of shares and Private Placement
- FEMA Compliances (FCGPR,FCTRS, FLA, DI)
- Companies Act 2013 Compliances (MGT-7,DIR-12,DIR-3, DIR-3KYC, PAS-3, SH-7,MGT- 14,INC-28,CSR-2 GNL-1)
- Experience of coordinating and conducting board meetings, EGMs, AGMs
- Coordinating with regulatory authorities like Investors, trustees, regulator, Depositories, lenders, ROC and RTA
- General Meetings related documents.
- Familiar with debt and debt compliance
- Prior experience of managing legal, drafting, and regulatory compliances
Skills & Qualification:
- Member of the Institute of Company Secretaries of India
- LLB
- Detailed knowledge of Companies Act and SEBI (LODR)
- Exposure to legal agreements and compliance must
- Deep process orientation
- Good Communication skills and Proactive
- Public markets secretarial experience with exposure to legal/compliance preferred.
