About the Job:
- We are seeking a qualified Company Secretary (CS) to strengthen our compliance and governance framework in preparation for upcoming debt and equity listings.
- The role involves working closely with a 5-member compliance team and reporting to the AVP - Compliance.
- The ideal candidate will ensure alignment with regulatory frameworks and corporate governance standards across the flagship company and group entities.
Roles and Responsibilities:
- Ensure company compliance with SEBI regulations, the Companies Act, and listing obligations.
- Monitor updates in corporate laws, capital markets regulations, and apply them to internal policies.
- Handle regulatory filings, secretarial compliance, and liaise with SEBI, stock exchanges, and MCA.
- Maintain statutory records and prepare documentation for board and committee meetings.
- Assist in the preparation of offer documents, disclosure requirements, and listing-related paperwork.
- Develop and implement internal compliance and corporate governance policies.
- Conduct training and awareness sessions for employees on secretarial and listing compliance.
- Coordinate with internal departments (legal, finance, operations) and external consultants (auditors, merchant bankers) to ensure listing preparedness.
- Support internal and external audits pertaining to secretarial and compliance matters.
- Identify compliance risks related to capital markets and implement appropriate controls.
- Draft and maintain minutes, resolutions, statutory registers, and compliance reports.
- Provide expert advice on secretarial practices and corporate governance for group companies.
Skills and Qualifications Required:
- Qualified Company Secretary (ACS); additional LLB degree is a plus.
- 3-5 years of post-qualification experience, preferably in a listed or listing-preparatory environment.
- Strong understanding of SEBI regulations, Companies Act, and listing compliance requirements.
- Prior exposure to handling debt/equity listings, offer documents, and pre/post listing formalities.
- Excellent written and verbal communication skills.
- Strong coordination, stakeholder management, and reporting abilities.
- Proficiency in using MCA portal, SEBI platforms, and related regulatory tools.
- High attention to detail and strong documentation skills
