Assistant Manager - Secretary & Compliance
Key Responsibilities:
Corporate Governance & Secretarial Functions:- Board Meetings: Organize, prepare agendas, and record minutes for Board, Committee, and Annual General Meetings (AGMs).
- Compliance: Ensure that the company complies with statutory and regulatory requirements, including timely filings with regulatory authorities such as Registrar of Companies (ROC)
- Corporate Records: Maintain and update statutory registers, records, and corporate documents (e.g., shareholder agreements, MOUs).
- Risk Management: Advise the board on corporate governance practices, legal risks, and mitigation strategies.
- Company Policies: Draft and enforce company policies related to governance and compliance.
Legal Affairs:- Contract Management: Draft, review, and negotiate contracts related to vendors, suppliers, partnerships, and employee agreements.
- Dispute Resolution: Handle legal disputes, litigation, and arbitration proceedings, ensuring the company's interests are well represented.
- Compliance Audits: Lead internal audits to ensure compliance with laws governing retail operations, data protection, e-commerce regulations, and advertising.
- Intellectual Property: Oversee IP matters, including trademarks, copyrights, and patents, and protect the company's brand in the luxury market.
- Regulatory Compliance: Monitor and ensure compliance with laws and regulations specific to retail and e-commerce, such as consumer protection laws, data privacy regulations, and tax matters.
- Licenses and Permits: Oversee the renewal and application of necessary permits, licenses, and certifications required for luxury retail operations.
Legal Advisory:- Strategic Legal Guidance: Provide advice on corporate structure, new business ventures, and expansion plans from a legal perspective.
- Mergers & Acquisitions (M&A): Support M&A transactions, including due diligence, legal structuring, and integration activities.
- E-commerce Law: Advise on e-commerce regulations, online trade policies, digital marketing laws, and consumer rights in the digital domain.
- Consumer Protection: Provide legal guidance on customer disputes, returns, fraud cases, and ensure compliance with customer protection regulations, especially in luxury e-commerce.
Retail Specific Responsibilities:- Retail Operations: Offer legal support related to retail leases, franchising, and store expansion, including compliance with zoning laws and real estate regulations.
- Luxury Goods: Ensure compliance with laws governing the sale of luxury goods, including authenticity certifications, anti-counterfeit measures, and export-import regulations.
- Privacy & Data Security: Ensure compliance with GDPR, CCPA, and other data protection laws for handling customer data, especially for online luxury platforms.
Required Qualifications & Skills:Educational Background:- Company Secretary qualification from a recognized institute (ICSI or equivalent).
- Bachelor's Degree in Law (LLB) is mandatory. A Master's degree (LLM) would be an advantage.
Experience:- Minimum 4-5 years of experience as a Company Secretary and Legal Officer, preferably within the luxury retail and/or e-commerce sectors.
- Strong understanding of corporate governance, compliance regulations, and legal frameworks relevant to retail and e-commerce.
Skills:- Strong analytical skills with the ability to provide sound legal advice and risk assessments.
- Excellent verbal and written communication skills.
- Ability to manage multiple tasks, projects, and deadlines efficiently.
- Proficient in using legal research databases and compliance software tools.
