Purpose of the Job:

- Corporate Governance, Corporate Secretarial and RBI Compliances

- Ensuring compliance with statutory and regulatory requirements.

- Maintaining records, statutory filings, other secretarial compliances and such other activities delegated from time to time.

- To comply with the statutory provisions and improve compliance levels.

Role and responsibilities:

Business and Financial Management:

- Review internal control charter, proofing process, integrity process and strengthen the same to have stronger controls

- Timely and accurate completion of MYF and Plan for all the businesses within the company.

- Work with business heads and develop new plan model for new businesses

- Accurate and timely reporting of monthly financial results for each business, department and overall company

- Contribute in finance due diligence and financial modeling of company acquisition / portfolio buyout and creating what if scenarios etc.

- Help business / EPU in getting timely formatted version of expenses with details like Exp head mapping, Product code, Cost center, Level details, Details of Provision, Actual, Allocations etc.

- Sharing of information proactively with business heads and ensure timely sharing of information with treasury / Accounting team for external customers i.e. Bankers / Financial Institutions/ Credit rating agencies.

Customer Focus:

- Sharing of information proactively with business heads and ensure timely sharing of information with treasury / Accounting team for external customers i.e. Bankers / Financial Institutions/ Credit rating agencies on timely basis.

People / Team:

- Focus on helping & guiding team members to enable them to contribute effectively towards department/company objectives.

- Create back up of individuals by rotating the jobs and creating strong process so that work should not suffer in the event of an employee opting to leave the organization or going on long leave.

Process / Quality Improvement:

- Continuously improving management reporting deck for Key Leadership Team Members containing all the relevant financial & non-financial information. Introduce new analytic reports to appraise senior management with business trends.

Self-deliverables:

The most important tasks performed on an individual basis without involving subordinates are-

1. Preparations for the Board/Board Committees/General meetings - Notices, agenda, minutes, physical arrangements, etc

2. Preparation and Filing of various e-forms with the Ministry of Corporate Affairs.

3. Creation and maintenance of secretarial registers/files/ other documents

4. Coordination for the secretarial, statutory audits and other audits

5. Activities w.r.t. issue, listing and redemption of debentures

6. Preparation of annual report contents

7. Coordination with other departments and outside agencies like ROC, stock exchange, Debenture Trustees, R &T agents, etc

8. Other miscellaneous secretarial work as and when they arise

Expertise required/ Domain Knowledge:

Understanding of the various compliance and secretarial activities - academic knowledge of the Company law and allied acts and practical experience of working on various secretarial activities.

Any specific specialization/education:

Membership with the Institute of company Secretaries of India (ICSI)
