As the Assistant Vice President of Legal, your role is pivotal in upholding compliance, managing potential legal pitfalls, and steering the company's executive board with expert legal counsel. Eligibility and Skills:
- Hold a Bachelor's degree in Law (LLB) from a prestigious institution.
- A Master's or specialized degree in a connected domain is favoured.
- A minimum of 18-20 years of post-qualification experience, encompassing a leadership role in a prominent company and distinguished law firm.
- Comprehensive grasp of Indian corporate laws, regulatory structures, and commercial contracts.
- Acumen in corporate governance norms.
- Stellar negotiation, analysis, and problem-solving prowess.
- Aptitude to elucidate intricate legal ideas in simple terms for diverse audiences.
- Established record in directing legal disputes and litigation.
- Awareness of intellectual property law and related concerns.
- Proven leadership talents and team coordination skills.
- Robust business sense paired with the knack to weigh commercial goals against legal risks.
- Adherence to high ethical principles and the capacity to manage sensitive data discreetly
Key Responsibilities:
Legal Strategy and Compliance:
- Shape and deploy the company's legal roadmap in harmony with its business vision and ensure compliance with all pertinent laws, regulations, and industry benchmarks.
- Remain updated on shifts in the legal landscape that impact the company and offer pre-emptive advice to the leadership team.
- Construct and sustain a solid compliance architecture inclusive of policies, processes, and schemes to uphold legal standards.
Corporate Governance:
- Provide guidance and support to the board of directors on corporate governance matters, including board meetings, resolutions, and regulatory filings.
- Ensure compliance with corporate governance principles, guidelines, and best practices.
- Oversee the preparation and maintenance of corporate records, legal documents, and contracts.
Litigation and Dispute Resolution:
- Direct and supervise the organization's legal conflicts, covering litigation, arbitration, and other resolution methods.
- Engage with external legal representatives when needed, guaranteeing both cost and operational efficiency.
- Guide on settlement dialogues and conduct risk analysis pertaining to legal disagreements.
Regulatory Compliance and Government Relations:
- Ensure full alignment with industry-specific regulatory standards.
- Forge and nurture relationships with governmental bodies, industry groups, and pertinent parties.
- Stand for the company in engagements with regulatory entities when necessary.
Corporate Governance
- Offer expertise and support to the board on governance topics such as board proceedings, resolutions, and official submissions.
- Uphold the best practices and principles of corporate governance.
- Supervise the creation and upkeep of official records, legal papers, and agreements.
Contract Management:
- Scrutinize, compose, broker, and counsel on an array of contracts and legal papers, including commercial contracts and partnership agreements.
- Team up with internal parties to pinpoint legal dangers and suggest effective countermeasures.
Team Leadership and Synergy:
- Helm a team of legal professionals, offering them guidance, mentorship, and avenues for growth.
- Work in unison with internal sectors like finance, HR and others to address legal queries, back business drives, and diminish risks proficiently
