OBJECTIVE :
To ensure that an organisation complies with standard financial and legal practice and maintains high standards of corporate governance
JOB SUMMARY:
The company secretary is responsible for the efficient administration of a company, particularly with regard to ensuring compliance with statutory and regulatory requirements and for ensuring that decisions of the board of directors are implemented.
KEY RESULT CRITERIA :
Secretarial :
- Conducting Board Meetings, Audit Committee Meetings, AGMs and other meetings formally.
- Board meeting Agenda preparation, Drafting Minutes of the Board meeting.
- Drafting AGM/EGM Notice, Directors Report
- Compliance of Companies Act, 1956 / Companies Act 2013
- Filing with ROCs and other Govt. bodies.
- Maintaining Statutory Records
Legal :
- Drafting, review and negotiation of Contracts
- Co-ordination with Lawyers for legal opinion, litigation etc. - Working as In-house counsel
- Drafting, review of policies, procedures
Compliance
- Assistance in Compliance function including License agreement and EOU/EPCG compliance
Risk & Insurance Management :
- Co-ordinate Risk Management function
Insurance :
- Ensuring insurance coverage of assets and business interruption.
- Procurement and renewal of insurance covers.
- Periodic review of insurance coverage and asset reconciliation.
- Claims handling and insurance recoveries for property damage and business interruption.

Legal Officer : Legal and Compliance
Compliance Officer : Legal and Compliance
Compliance Officer : Insurance Regulations
- External Legal Advisors
KEY COMPETENCIES : Minimum Education :
Qualified CS with minimum 10 of experience preferably from Financial Industry
Knowledge/Skills :
- Understanding the company's business thoroughly
- Basic knowledge of corporate and securities law
- Demonstrating an - executive presence,- backed up with solid communication skills
- Being able to lead and work within a multi-disciplinary setting to achieve consensus
- Being detail-oriented
