Associate Vice President/Head - Legal - LLB - Power/Energy/Infrastructure

To lead and manage all legal issues of Company with respect to project contracts, regulatory, PPA, litigation matters, business related contracts, arbitration,(across all Companies power projects) to maximize/obtain favorable results as well as minimize the negative effects of legal roadblocks on the business

- Regulatory: Handling regulatory matters with respect to Indian Electricity Act 2003, resolving regulatory issues with respect to PPA - existing and new.

- Litigation Management: handling of litigation matters and support in strategizing, decision making, interacting with the counsel, drafting, reviewing, filing and conducting matters. Handling of all related arbitrations.

- Project Contracts (EPC Contracts), Commercial Contracts, Business Contracts: To lead the finalization of project and commercial contracts of energy business which includes domestic and international contracts. Support all contract drafting and contract finalization for project execution apart from other relevant legal support to the business. Vetting, drafting and negotiating contracts including Project Contracts, Commercial contracts and Business Contracts,Joint Venture Agreements, Collaboration Agreements, Licence Agreements, Power Purchase Agreements, Coal Supply Agreements, Gas Supply Agreements, MOUs, LOIs, etc. to safeguard Company 's interests in various commercial transactions and to also ensure legally secure deals for the company. Overall contract management.

- Liaising with external counsel - meeting on decision making/hearing, discussions and decisions to arrive at optimal solutions and resolution.

- Compliance Management - support in legal compliance management and front facing the operations of the Energy Compliance Council. Support in monitoring and resolution of all compliance issues.

- Monitor developments with respect to changes in govt. policies on Power Generation, Power Sales, Land Acquisitions, Rules & regulations of related policies and advise management suitably on implications. Environment scanning for latest case-law and statutes/amendments specific to the Sector.

- Support in periodic reporting, MIS and Management Inputs.

- To inter act with Energy Business team and provide legal assistance/guidance.

- Liaising with external counsel as and when necessary.

- To keep updated with the latest developments in the Energy sector and the legal decisions of various courts relating to the commercial contracts.

External Interactions Internal Interactions:

- Interaction with the external layers or Advocates as and when the matters are referred to external lawyers for opinion/guidance.

- Business Heads, Finance Heads and corporate and site HoDs.

- Other Dimensions: Interpersonal skills to develop a healthy rapport with all the internal stakeholders including external stake holders and business heads.

Skills & Knowledge:

Educational Qualification: LLB from a recognized and reputed Institute

Relevant & Total years of Experience:

- 20 to 25 years of experience in similar Function.

- Experience in Power Industry is desirable.

- Should have sound knowledge in Power Sector Regulatory, Contracts Act, Transfer of Property Act, Companies Act, Arbitration and Recocialation Act, should possess analytical skills in identifying the risks involved in the contracts and should be able to suggest suitable redressal mechanism in order to protect the interest of the Companies.

- Should have excellent communication skills, strong self-confidence and smart presence essential

- Should have the knowledge of all related case laws and should keep updated with all the developments in the related subjects.
