Job Description:
Position Overview: The Corporate Law, Tax, and Compliance Professional will be responsible for designing, reviewing, and managing stock-based compensation plans, providing high-end tax advisory services, and ensuring compliance with regulatory requirements. This role requires expertise in handling complex ESOP transactions, managing trusts, and representing the company before various regulatory bodies.
Key Responsibilities:
1. Design and Review of Stock-Based Compensation Plans:
- Develop, design, and review stock-based compensation plans, including ESOP, ESPP, SAR, RSU, Phantom Stock, and Sweat Equity for both listed and unlisted companies.
- Provide strategic advice on stock-based compensation structures for companies ranging from large enterprises with revenues exceeding US$ 10 billion to emerging start-ups.
2. High-End Tax Advisory:
- Offer expert tax advisory services on ESOP transactions and related matters in accordance with tax laws in India, the US, the UK, and Singapore.
- Analyze and interpret tax implications of various stock-based compensation schemes and transactions.
3. Trusteeship and Trust Management:
- Oversee trust management and trusteeship duties related to ESOP transactions.
- Ensure compliance with disclosure requirements and manage the valuation of stock options and shares.
4. Corporate Tax Advisory and Compliance:
- Provide comprehensive corporate tax advisory services, ensuring compliance with relevant tax regulations.
- Handle corporate tax compliance, litigation, and general corporate law matters.
5. Representation and Policy Advocacy:
- Represent the company before SEBI, RBI, Stock Exchanges, Tax Authorities, Tribunals, and Law Courts.
- Engage in policy advocacy and contribute to shaping regulatory policies as needed.
Preferred source industry: Tier 1 Law firm, Big 4 Consulting, or other reputed consulting firms.
Expectation/ role/ requirements:
- The job involves management consulting and advisory work in connection with structuring of ESOPs and other equity based compensation plans with a focus on legal/ compliance/ transaction aspects of ESOPs, equity shares and other capital instruments.
- It also involves interaction generally with the top management of the client companies and requires a flair to understand their business perspectives. The position essentially envisages:
- Leadership role with handling of a team of ~ 5 to 7 members;
- Independent handling of assignments;
- Responsibility for improvement in format / quality of deliverables;
- Contribution for Newsletters, Articles, Blogs, Policy Advocacy and occasional representation before the Regulators; and
- Day to day guidance to the team and reportees.
