Job Responsibilities:
- Main Board IPO Execution: Manage the execution process for Initial Public Offerings (IPOs), Qualified Institutional Placements (QIPs), Rights Issues, and other fundraising/advisory services, including pre-IPO and other equity capital market transactions. Ensure compliance with regulatory requirements and industry best practices.
- Transaction Management: Coordinate and collaborate with internal teams such as investment banking, legal, compliance, and finance, as well as external service providers, to facilitate the smooth execution of IPOs and other equity transactions.
- Due Diligence and Documentation: Oversee the due diligence process, working closely with legal and compliance teams to ensure the accuracy and completeness of offering documents, prospectuses, and other transaction-related materials for IPOs, QIPs, Rights Issues, Buybacks, etc.
- Investor Relations: Collaborate with investor relations teams to develop appropriate investor targeting strategies and support the roadshow process. Assist in managing relationships with institutional investors and analysts.
- Liaison with Regulatory Authorities, Stock Exchanges, Law Firms, etc.: Act as a point of contact and facilitate communication with regulatory authorities, stock exchanges, law firms, and other relevant parties to ensure compliance and adherence to legal and regulatory requirements.
- Market Research and Analysis: Conduct comprehensive market research and analysis to identify potential investors, assess market conditions, and provide insights to support the pricing and marketing strategy for IPOs. Prepare pitch/credential books, financial models, and conduct detailed valuation analysis, including discounted cash flow (DCF) analysis.
- Regulatory Compliance: Ensure compliance with applicable securities regulations, SEBI exchange rules, and listing requirements throughout the IPO and equity capital market execution process. Coordinate with legal and compliance teams to address any regulatory issues that may arise.
- Deal Execution Support: Provide operational support for deal execution, including coordinating with underwriters, legal counsel, auditors, and other external parties involved in the transaction. Monitor and track progress, ensuring timely completion of tasks.
- Relationship Management: Build and maintain strong relationships with clients, working closely with senior management to understand their needs, provide strategic advice, and deliver high-quality service.
- Continuous Process Improvement: Identify opportunities to enhance the efficiency and effectiveness of IPO and equity capital market execution processes. Propose and implement process improvements to streamline workflows and increase productivity.
Job Requirements:
- Bachelor's degree in finance, business, economics, or a related field. Advanced degree like CS/ LLB /CA preferred.
- Extensive experience in equity capital markets execution, with a focus on Main Board IPOs and other equity transactions within the merchant banking sector.
- In-depth understanding of securities regulations, listing requirements, and exchange rules applicable to Main Board IPOs and equity capital market transactions.
- Strong knowledge of financial markets, investor relations, and market research techniques.
- Proven track record of successfully managing Main Board IPO execution processes, including due diligence, prospectus drafting, investor targeting, and pricing strategies.
