Designation- Associate Director Corporate Lawyer
(Industry prefrence- Large Consulting, Law Firms, and Big 4)
- Looking for Corporate Lawyer who understands the holdings or structure of the organization very well from legal aspect whether it is LLP, Private Limited, LLC etc.
- Experience providing advice on structuring of transactions, setting up new venture/entities, formulation or establishment of new company
- Experience in Pre/Post Deal, M&A (Merger & Acquisition), and Restructuring of an organization from legal aspect
- Experience in drafting pre-diligence documentation (NDAs) and various firm governance approvals
As a Corporate lawyer you will be responsible for providing corporate and transactional support, implementing best practices and managing governance structures across centers in Poland, India, China, Argentina, Philippines, UK, Spain, Mexico, Sri Lanka.
- co-ordinating the legal due diligence and ensuring any risks identified in the legal and other diligence are addressed;
- reviewing and negotiating the purchase agreement in conjunction with external counsel;
- drafting various firm governance approvals;
- interfacing with internal and senior stakeholders on all aspects of an acquisition; and
- advising on the legal aspects of integration.
- You will be required to implement and monitor an operating framework appropriate to each jurisdiction. You will also be required to keep the team appraised on changes in clauses pursuant to policy changes, ensuring availability of updated templates and guidance materials.

To qualify for the role, you must have:
- Bachelor of law
- Hands on experience in Corporate Structuring, M&As and related Transactions
- Minimum experience of 10 years
Ideally, you'll also have
- Worked in an In-House Legal Department of a Global MNC for minimum 5 years handling complex holding structures.
- Exposure to transactions with multi-jurisdictional implications.
- Proven ability to establish a high degree of credibility, respect and trust at all levels, including with senior members of the firm, some of whom have a considerable understanding of the law.
