Associate Director - Corporate Finance - Infrastructure Sector

Responsibilities:

The person would primarily be required to lead the project team, keep the work focused on the objectives and market the group's services particularly in the area of debt, structured finance and restructuring in the infrastructure sector.

- Building relationships with key corporate groups, lenders and financial sponsors in the infrastructure sector

- Building a healthy pipeline of opportunities and mandates in the specific areas related to debt financing and restructuring across various infrastructure sub-sectors such as power, transport, renewables and social infrastructure.

- Analysing the financial and operational positioning of corporates to proactively suggest strategic options related to debt such as debt refinancing, fund raising / syndication for new infrastructure projects, leverage financing for acquisitions, bid advisory and debt restructuring-related services including sale / workout of NPA- s

- Coordinating pitch presentations to obtain new mandates from corporates and lenders

- Work on an integrated basis with the Group to pitch for and win mandates encompassing end to end advisory services.

- Lead execution of transactions including day to day management and Project management and monitoring a team of Managers and Associates and other members of Group

- Business Modeling and Plan Development and an ability to analyse and envisage new / key industry and financing trends

- Financial Modeling and Analysis Coordinating and managing the financial, tax, commercial and operational due diligence process in a transaction.

- Assistance and guidance in finalisation of the transaction documentation including the initial Information Memorandum, financial model and the definitive agreements

- Integrate output from various service lines and deliver a holistic solution to the clients.

- Provide inputs for group business plan and future direction of the Corporate Finance practice.

- Evaluate economic and legal risks to the Firm arising out of engagements, consult and adopt suitable risk management practices.

- Keep abreast of new developments in the profession, the business, the industry and the regulatory environment

- Build a strong network with peers and professionals in the field

- Represent the firm at seminars/conferences/ develop thought leadership reports/ articles.

Qualification

MBA (finance) from a reputed institute or a CA

The individual:

- Strong and well rounded business and macroeconomic understanding

- Have 8 - 10 years of post qualification experience in debt markets, including experience in syndicating infrastructure debt / project finance.

- Knowledge and experience of debt financing products such as project finance, term loans, ECB- s, corporate bonds, promoter financing, mezzanine capital, acquisition finance, structured finance, etc. and relevant RBI, SEBI, ECB and FPI debt regulations is essential

- Exposure to project and infrastructure finance essential

- Relationships at the senior management level with corporates, banks (PSU & private sector), ARC- s, NBFC- s, Insurance companies and other players active in the infrastructure space is essential

- Knowledge of restructuring laws, regulations and processes including CDR/JLF, SDR, S4A, New Insolvency Code etc. is essential

- Knowledge of new financing products such as Masala Bonds, InVITS etc. will be highly desirable

- Relationships with rating agencies and legal firms etc. would be a positive

- Strong analytical bent of mind and structured problem solving approach

- High level of strategic and creative thinking and an ability to come up with solutions from a tax or legal structuring perspective

- Understanding of legal, tax and financial structuring issues relevant to infrastructure financing

- Extremely high level of comfort with spreadsheets, MS word and Power point

- Have strong soft skills like; interpersonal skills, team skills, communication skills - both verbal and written

- Have the ability to work under pressure - stringent deadlines and tough client conditions which may demand extended working hours
