Assistant Manager (Secretarial & Legal)

1. Secretarial

- Compliance under all provisions of Companies Act, 2013 and its rules, regulations, and guidelines for all group companies.

- Timely closure of all statutory books and records at the end of the financial year.

- Statutory filing without delay ensuring correctness of data.

- Conducting general meetings, board meetings and committee meetings and record keeping thereof

- Timely filing of annual returns.

- Review CSR expenses and ensure compliance with minimum expenditure as per Companies Act, 2013.

- Analysis of Related Party Transactions and ensure compliance with the limits approved and exhausted.

- Review financial statements to ensure adherence to Companies Act, 2013.

- Coordination with Company Secretary in Practice, members of the Board, Committee Members, Accounts and finance department, external legal counsels, statutory auditors, and internal auditors.

- Compromises, Arrangements and Amalgamations under Companies Act, 2013.

- Due Diligence.

- Vetting of Financial Statements and auditors report.

- Annual/Board's Report.

- Appointment, re-appointment and resignation of Statutory Auditor, Internal Auditor and Cost Auditor.

- Appointment of Managing Director, Executive/ non-executive, Independent Directors.

- Incorporation of new Company/ creation of new unit.

- Filing of event-based forms with Registrar of Companies.

2. Legal

- Draft and vetting of legal notices, letters, contracts, and agreements including agreements for Strategic Alliance and Collaborations, administration agreements and operational agreements for business.

- Maintain records of all contracts/letter/agreements and ensure proper execution and timely renewal.

- Documentation for Statutory registrations, licensing, and renewals.

- Handling civil and criminal cases.

- Drafting and Vetting of promotional and marketing material.

- Drafting of Corporate Policies and Guidelines.

- Vetting of Operational Policies and Guidelines.

- Advisory on various legal matters and interpretation of laws.

- Handling of misbranding cases under Insecticides Act.

- Handling of legal matters and reply to Legal notices from Contractors/departments/ authorities.

- Vetting of banking agreements and other banking documents.

- Vetting of Sanction Letters, Loan Agreements, and related documents for charge creation/ modification/ satisfaction.

- Preparation of Legal documentation for filing of Tender.

3. Advisory

- Regular updation as per amendments and notification of Corporate Laws.

Qualification And Experience:

1. CS & LLB with 7+ Experience on CSR, Mergers & Acquisitions, Incorporation of Companies/ Related party transaction, Secretarial & due diligence audits, Labour law compliance, Join Ventures & FSSAI regulations etc.

2. Analytical skills including data analysis.

3. Commercial Awareness.

4. Understanding of law and potential ramification of Non-compliance.

5. Understanding & analysis of consequence of Non-compliance in Business agreements.
