ESSENTIAL :


1. Should be well versed with Filing with Stock Exchanges, ROC, RBI and sound knowledge of Corporate Law


2. Prior experience of at least 3-4 years in Listed Company

DESIRABLE :


1. Prior Experience in Manufacturing Industry

2. Experience in large listed company

3. Rank holder or 1st attempt CS exam cleared

FUNCTIONAL COMPETENCIES :

- Advanced knowledge of SEBI laws, Corporate laws, interpretation, implementation and procedures involved.

- Excellent drafting and communication skills (Agenda & Minutes, internal and external communications)

- Must have experience of communicating with Shareholders, RTA, NSE BSE and Auditors etc

- Knowledge in MS Word, Excel and Power Point presentations.

- Able to travel domestic/international as per requirements.

MANAGERIAL COMPETENCIES :

- Board meeting management (Advanced)

- Expert in understanding Board management, drafting of agenda and minutes and coordination for related compliances.

- Compliance Management and Due Diligence (Capable)

- Expertise in managing compliance to Companies Act, SEBI and RBI regulations and adherence to Secretarial standards in Board meetings of company for and its allied business and offices

- Process Orientation (Advanced)

- Setting up, adherence and highlighting deviations in any processes and ensuring continuous improvements

- Shareholder relationship management & Communication (Advanced)

- Ability to develop constructive relationship and communication channel with shareholders and various external and Govt agencies with appropriate grievance handling mechanism

- Liasoning Skills (Capable)

- Ability to interact with government bodies, officials and managing a working relationship with the same

- Legal Drafting skills (Advanced)

- Ability to draft and develop various legal documents in respective domains of roles
