Assistant Manager - Legal & Company Secretary - Family Office
Qualifications and Skills:
- Qualified lawyer with a minimum of 3 years of relevant experience.
- Company Secretary qualification is preferable.
Skills and Competencies:
- Strong drafting skills with experience in preparing various legal agreements.
- In-depth knowledge of corporate law, compliance, and regulations in offshore and Indian jurisdictions.
- Strong analytical and problem-solving skills.
- Excellent communication and interpersonal skills.
- Ability to work independently and manage multiple tasks simultaneously.
- Detail-oriented with a focus on accuracy and thoroughness.
- Proficient in legal research and staying updated on industry developments.
Job Responsibilities:
Legal & Compliance Oversight:
- Oversee statutory compliances for all entities, ensuring adherence to regulatory requirements in both offshore and onshore jurisdictions across multiple geographies.
- Stay abreast of changes in laws and regulations and update the organization accordingly.
- Develop, implement, and update compliance policies and procedures.
- Identify potential legal risks and propose strategies to mitigate them.
- Stay informed about industry best practices and legal trends to proactively address emerging issues.
- Ensure timely filing of all compliances for the offshore entities.
Drafting and Reviewing Legal Documents:
- Prepare and review a wide range of legal documents, including contracts, agreements, Memorandum of Understanding (MOU), investment agreements (SSA, SHA), lease agreements, loan agreements, and other contractual documents.
- Ensure that legal documents are drafted accurately, comply with relevant laws, and protect the interests of the family office.
- Provide legal advice and support to internal stakeholders on a range of issues.
- Maintain accurate and up-to-date records of legal documents and compliance activities.
- Ensure proper documentation of legal transactions and correspondence.
- Draft a Brief of opinions for the consultants.
- Be involved in the management of day-to-day affairs of overseas properties and controlling expenses.
- Provide regular reports to management and promoters.
Coordination and Collaboration:
- Collaborate with external lawyers, consultants, and agencies to ensure seamless compliance across all the entities.
- Stay abreast of regulatory changes and updates.
- Liaise with internal departments to ensure seamless compliance and process across the organization.
- Act as a central point of contact for legal matters, facilitating communication with external partners.
Company Secretarial Duties:
- Preparation of Board and shareholders' resolutions for the entities, managing board meetings, resolutions, and corporate governance matters.
- Maintain and update statutory records and registers for all entities.
Advisory Support:
- Provide legal advice and guidance on various matters, including corporate structuring, taxation, and regulatory compliance.
- Collaborate with external legal counsel when required and manage the relationship effectively.
