At present we are looking for a AM / DM / Manager - Legal &amp; Company Secretarial for a reputed FMCG company for Mumbai location: Position: AM / DM / Manager - Legal &amp; Company Secretarial Reporting to: Head, Legal &amp; Secretarial Role Overview: Key Competencies : - In depth knowledge of SEBI regulations, Companies Act, Trademark, consumer protection and other laws applicable to the business - ability to work independently, - candidate should be comfortable working in a fast-paced environment with broad and generalist responsibilities, - Ability to provide alternatives when there are regulatory and policy barriers to business - Good communication skills, ability to summarise and synthesize, proficiency in drafting - Efficient in observing deadlines and meeting commitments. The incumbent will carry out a range of responsibilities and tasks relating tolegal and compliance matters for BCCL's business in India and overseas. Some of the key responsibilities include:- Legal : - Work with external counsels/ agencies to strategize and coordinate IP enforcement actions against counterfeiters and trademark infringers including but not limited to police raid on counterfeiters, filing for court injunctions etc. - Intellectual Property portfolio management. Registration and renewal of trademarks, copyright and patents in consultation with Intellectual Property attorneys. Periodic review and gap analysis. - Provide guidance, advice on product development, approval of marketing claims, advertisements and artworks in line with requirements under Consumer Protection, Legal Metrology, Drugs &amp; Cosmetics laws and ASCI guidelines. - Drafting, reviewing and negotiating a wide range of contracts with business partners, suppliers, service providers, customers and brand endorsers. - Review and monitor the compliance in all areas of laws and have preventive measures in place. Assist in strengthening the compliance management framework across the functions. - Review progress of outstanding litigations and liaise with external lawyers. Corporate Secretarial : - Compliance with relevant provisions of Companies Act 2013 and SEBI regulations - Manage Board processes such as Board and committee meetings and preparation of agendas, minutes, discussion papers, proposals for the board and its committees - Preparation of annual report and conduct annual general meeting - Liaison with statutory authorities like SEBI, Registrar of Companies and stock exchanges - Timely filings with stock exchanges, SEBI and Registrar of Companies - Keep under review legislative, regulatory and governance issues which may impact the Company
