Objective of the position :

Amagi partners with broadcasters, advertisers, advertising agencies, broadcast equipment manufacturers, Hardware manufacturers, Software integrators, ISP- s, office equipment suppliers, manpower suppliers etc. As Amagi is growing there is need to structure and administer Amagi's legal templates and processes for commercial and corporate functions at Amagi.

Position : Legal Counsel, Bangalore

- We are looking for an highly talented Legal Counsel to provide support to our commercial and corporate functions.

- You will provide transactional support for the broadcast media services and advertising business in India and worldwide.

- You will provide legal advice and counsel to sales, purchasing and partnership teams at all levels in the associated region, and support day-to-day initiatives and long-term strategies of Amagi. You will be located in Bangalore.

Responsibilities :

- Assess and advise on liabilities and legal restrictions and risks of proposed commercial transactions and devise creative and practical legal solutions to meet our business needs

- Draft, review, and negotiate a broad range of agreements, including software licensing,playout, services, hardware sales, support services, teaming agreements, reseller agreements, advertising and nondisclosure agreements

- Interface with various groups within Amagi to understand key IP, commercial, and finance requirements and ensure commercial contract terms comply with corporate directives, policies and procedures

- Keep abreast of applicable laws, government regulations and industry guidance that impact agreements in multiple countries including US, Europe and APAC

- Collaborate and partner effectively with the business, including providing advice and counsel to executives and sales professionals on issues related to commercial licensing and service transactions

- Act as a fiduciary for the company driving compliance in day-to-day sales activities, including providing training and counseling to our sales and partnership teams

- Work with external law firms to draft, vet and negotiate investment agreements, shareholder agreements etc.

- Work closely with purchasing and partnership teams to draft, vet and negotiate agreements with partners and vendors. Work with external law firm to create standardized drafts/templates for all our recurring legal requirements.

- Create a repository / database of all legal documents including expiry dates & liabilities and review on an ongoing basis

Qualifications & Experience :

- 3-5 years of transactional legal experience comprised of time spent at a major law firm or in-house with a high tech, IT services or media company with exposure to drafting/negotiating international contracts. In-house legal experience is preferred.

- High volume commercial transactions experience with a software/ IT services or media company, including experience with licensing and/or services sales agreements

- An excellent negotiator with strong influencing skills experienced at drafting commercial contracts

- Demonstrated capability in creating and negotiating complex legal transactions in addition to typical sales agreements

- A practical and proactive problem-solver who possesses strong business acumen and is confident, mature and calm under fire

- Must be able to juggle multiple priorities and tasks in a fast paced environment, but be focused when needed on the matter at hand

- Excellent written and oral communication skills, interpersonal skills, and leadership skills

- Must be able to work effectively both independently and with a team

- Of the highest degree of personal and professional integrity and ethics

- Preferably, post-graduate degree in law (ideally business law)

- MBA education will be considered an asset
