The Role:
Agreements:
- Draft, review, and negotiate various agreements, ensuring compliance with legal requirements and company policies.
- Experience with working on various agreements such as Service Agreements, Supply Agreements, SHAs, SPAs, SSAs, PL Agreements, Franchise agreements, and NDAs.
Litigation:
- Provide legal advice to the company in various litigation matters, commercial disputes, and regulatory compliance.
- Manage outside counsel relationships and effectively communicate litigation strategies and goals.
- Drafting of a variety of legal documents such as Legal Notices, Settlement Agreements, Department Letters, etc.
Knowledge of court procedures.
Company Secretary Functions:
- Ensure compliance with as per Company Law requirements including MCA and FEMA filings
- Prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs) and follow up on action points.
- Convene and service AGMs, draft resolutions, and lodge required forms and annual returns with appropriate departments.
- Maintain statutory books, including registers of members, directors, and secretaries.
Legal Advisory:
- Provide legal counsel on a wide range of issues, including contract negotiations, agreements, and regulatory compliance.
- Conduct legal research to stay abreast of relevant laws and regulations.
Qualifications we look for:
- Bachelor's / masters degree in Law (LL. B. ) and Company Secretary (CS) qualification.
- 4-5 years of experience in a similar role.
- In-depth knowledge of Indian corporate laws, regulations, and secretarial standards.
- Strong drafting, negotiation, and analytical skills.
- Strong verbal and written communication skills, capable of conveying complex information in a clear and concise manner.
- Strong problem-solving and decision-making abilities.
- Attention to detail and ability to work under tight deadlines.
- Provide mentorship and guidance to team members, facilitating professional development and skill enhancement.
- Ability to work independently and collaboratively in a dynamic environment.
