AGM/Lead - Legal Counsel - Manufacturing/Real Estate/Infrastructure

Job Description :

This Job is responsible for providing all legal guidance and support relating to private and public fundraising issues (debt and equity), mergers, acquisitions, divestments, QIPs etc. with a focus on enabling the deals.

(i) Provide legal guidance and support on fundraising, financial restructuring, M&A etc:

- Equity capital market transactions

- IPOs, QIPs, Rights Issue, OFS, etc

- Mergers & Acquisitions

- Private Equity

- Schemes of Arrangements

- Preferential Allotments and other Fund/Capital Raising transactions by way of equity, preference shares or equity convertibles

- Investments & Divestments by GMR Group

- Corporate Actions (such as buy-backs, stock splits, reductions of share capital, bonus issues, stock consolidations, conversions)

(ii) Effectively lead the legal due diligence process & assure closure within highly critical, assigned timelines

(iii) Advise on corporate law, legal and compliance issues and other regulatory requirements

(iv) Drafting and review transaction documents & finalization of definitive agreement, non-compete agreement, non-disclosure agreement pertaining to the transaction

(iii) Review and negotiate general commercial contracts

- Preparing deal bibles

- Due diligence

(iv) Provide general legal advisory and support on legal issues
