Essential Duties and Responsibilities :
- Set guidelines and frameworks to be followed organization wide during pre and post IPO launch
- Map organization's existing frameworks vs IPO requirements, understand variances with severity (high/ medium/ low), advice management on bridging the gaps
- Work closely with business heads and leadership in fixing non-compliances at respective department/ business unit/ cost centers
- Conduct organization wide pre-IPO checks to ensure 100% compliance to IPO norms and mandates
- Represent organization in various regulatory meetings/ discussions as per Companies Act, SEBI & Stock Exchange Requirements
- Build internal systems and mechanisms for tracking compliances and adherences in a periodical manner towards IPO launch.
- Regularly handle IPO and other compliances under Companies Act, SEBI & Stock Exchange requirements including time to time declaration made to these agencies
- Regular interaction with shareholders. Maintain all statutory records and documents, registers, reports and returns and ensure compliances with Corporate Governance. Adequate knowledge of takeover code.
- Periodically review organization's Corporate Governance Practices to check alignment with industry wide best practices
- Oversee and ensure 100% accuracy in drafting Offer Document in consultation with Legal Counsels and Lead Managers to the issue, dealing with SEBI, Stock Exchanges, Registrar of Companies.
- Undertake Due Diligence exercise for Companies at preliminary level and then at an extensive level in the fold, in consultation with Merchant Bankers and Legal Counsels.
- Actively associated with the Post Issue activities namely allotment, refund etc. and monitoring redressal of investor grievance
- Preparation and charge of the Annual Report for listed companies/ documents for board meetings
- Ensuring statutory compliances specifically in connection with Company Law, SEBI Guidelines, and Shareholders Agreement(s).
- Risk evaluation and execution of Loan Documentation and working closely with Bankers on fund based and non-fund based transactions including creation/modification/satisfaction of charge, hypothecation, mortgage, lien, pledge, etc.
- Alteration in MOA & AOA on account of change in Name Clause, Object Clause, Capital Clause of the Memorandum of Association, Shifting of the Registered Office of the Company from one State to another.
- Preparation and maintenance of various Statutory Books and Registers of the Company under the Companies Act. 1956
Qualification & Skill Requirements:
- Qualified CS with 10- 15years of experience
- Should have managed IPO in medium to large organization
- In depth Knowledge about various compliances
- Excellent communication skills
- Vendor management skills
- Good analytical skills
